The law establishes new qualifications for board members and tighter oversight of the agency's leadership.
It also sets deadlines for the State Ports Authority to sell land it owns on Daniel Island and in Port Royal.
The Senate overrode the veto in a 35 to 9 vote, while the House overrode the veto by 102 to 3.
Sanford released a statement after the votes Tuesday afternoon calling the General Assembly "content to further set our state back."
"The ideas of more in the way of qualifications and long-term planning contained in this bill were nothing more than a smokescreen for taking away governors' ability to hire and fire board members," Sanford said in the statement. "Taking that authority away will make our State Ports Authority less accountable and less transparent, and will make our state less competitive as a result."
The restructuring idea emerged after a particularly tumultuous year at the SPA, beginning with a nearly 10 percent container volume decline reported last summer and ending with the agency's top customer announcing in December that it plans to move its business elsewhere.
Discussions continue with Danish shipping giant Maersk Line, though the company repositioned three of its seven local calls in Wilmington, N.C., and perennial rival port Savannah. In January, shortly after the Maersk decision, the SPA's president and chief executive, Bernard S. Groseclose Jr., announced his resignation during a performance evaluation.
The SPA is expected to name Jim Newsome, an executive with German shipping line Hapag-Lloyd, as its new chief executive at a board meeting next week.
Sen. Robert Ford, D-Charleston, co-sponsored the restructuring bill and said Tuesday that if the Senate did not override Sanford's veto, the state might limit the SPA's ability to hire a qualified replacement for Groseclose.
"Nobody would come here who is involved with the ports community right now," Ford said. "They would not come here under this chaotic situation." Cargo containers at a Port of Charleston terminal.

SPA spokesman Byron Miller said the changes "will be embraced and implemented thoroughly and aggressively," noting the agency's focus on its role as an economic engine for the state. The SPA immediately will update its bylaws to reflect the requirements for board members.
That means term reductions from seven years to five years and an invitation to the state secretaries of commerce and transportation to attend next week's board meeting as non-voting members. The SPA must also provide financial records online.
Sen. Larry Grooms, R-Bonneau, maintained an active role in Maersk discussions and introduced the restructuring bill. He pointed out from the Senate floor Tuesday that 260,000 South Carolina residents rely on the port for jobs. He said he could not name a single maritime business leader who did not support the bill.
"The easiest thing for me, politically, to do would be to tell you to vote with the governor," Grooms said. "On this one, I believe our governor is wrong."
But Sanford praised those in the Senate who, for months, fought vigorously to stymie the bill. His former chief of staff, Tom Davis, now a senator from Beaufort, suggested the bill could impede progress on the joint terminal with the Georgia Ports Authority planned for Jasper County.
"You're going to see nine board members from Charleston going native right away," Davis said, implying the SPA board would concern itself only with Charleston and not the entire state.
Then he drew upon the tongue-in-cheek local saying that underlines the Holy City's sense of self worth: "All of a sudden it's the Ashley and the Cooper going on to form the Atlantic Ocean," he said. "And it's Charleston all over again."
