Groseclose likely to get $132,000 in severance

CHARLESTON -- Bernard Groseclose is likely to walk away with at least
$132,000 in separation pay after resigning as chief executive of the S.C.
State Ports Authority.

His contract, signed in 1998, says that he is to receive a severance
benefit in an amount equal to six months’ base pay if the authority
terminates his agreement for reasons outside of failed performance or
illegal or dishonest actions.

Apparently, the board had planned to offer even more financial incentives
but now plans to scale back its offer, said Joel Sawyer, spokesman for
Gov. Mark Sanford.

“We told them that it would be a mistake,” Sawyer said. “We told them it
was crazy to do it in light of what is going on across the state with
state agencies cutting services and laying off people.”

Sawyer said it is “our understanding” that those financial offers, which
he did not name, will not be included.

“It doesn’t make sense to let someone walk away with a goodie bag when
they leave voluntarily,” Sawyer said.

Neither SPA board chairman David Posek nor Groseclose could be reached
for comment.

Groseclose and board members, including Posek, have maintained that
Groseclose left the position voluntarily. His announcement Tuesday
followed a semiannual review in a closed executive session of the S.C.
State Ports Authority board and was effective immediately.

Groseclose technically remains an employee of the S.C. State Ports
Authority and is on leave. His separation agreement has yet to be
finalized.

Sawyer said it was his understanding that the six months’ pay was to be
awarded to Groseclose whether he was asked to leave or resigned
voluntarily.

But the contract appears to grant the pay only if the authority
terminates the agreement.

It reads: “The Authority or President may terminate this Agreement for
any reason, upon thirty (30) days written notice; provided however, if
Authority terminates this Agreement for any reason other than (b) or (c)
above, Authority shall provide President a severance benefit in an amount
equal to six (6) months base pay.”

The (b) and (c) refer to termination of the agreement based on illegal or
dishonest acts or failure to “perform the essential functions of his
position.”

Groseclose said earlier this week that he offered his resignation because
he no longer found the job rewarding.

In 1985, Groseclose joined the SPA as manager of business analysis. He
was named executive director in mid-1996. That means he has about 23
years in the S.C. Retirement System. State law requires one to have 28
years to be eligible for full retirement benefits. But Groseclose, or the
SPA on his behalf, would have the option of buying him an additional five
years. That would cost an estimated $210,000, assuming he needed a full
five years. He would then receive about $134,000 a year in retirement
pay.
